This documents will be the basis for the company registration decree issued by the Ministry of Law and Human Rights.

That way, your company will be registered in the government system and have a legality status. So, you can run it safe and properly. 

In additional, you should also complete your company with business licenses. This licenses can be issued by the central government, city district, or local area. 

As your business grows, you may need to set up branches to expand your operations to more areas.

If this is the case, you may require more company establishment documents related to the non-central office. 

This is because there are some additional provisions applicable to the establishment of branch offices.

There are five kind of company establishment documents that you must complete to start a business activity, namely: 

Company Establishment Deed

This company establishment deed document is the first legality that you must have when building a business entity. 

It is made and legalized by notary who has been sworn and registered with the Law and Human Rights Ministry. 

This document contains all the important information of the company, such as the identity, type of business, management structure, etc. 

It also states all the rights and obligations of the founders, actors, and investors who have invested their capital. 

You can also find the amount of initial capital used as the company’s establishment fund written in this document. 

You must have the company establishment deed first because it is the main requirement for taking care of other documents. 

There are some requirement to obtain it, such as identification cards, family cards, personal NPWP, personal photos and so on.

All those involved in the process of establishing this company must must collect these files. It is starting from the founders and capital participants. 

All of them must also be present later at the time of signing the deed of establishment. 

If you are unable to attend this event, you must request to send a representative through a lawyer.

NPWP or Taxpayer Identification Number

When a business activity has been recognized by the government, the obligation to pay taxes begins to attach. 

Therefore, having an NPWP is one of the important requirements that must be completed in its administrative documents.

This file is part of the legality of the company that will be established. The NPWP function is also one of the mandatory documents. 

To get this document, you must first submit an application to the Tax Office (KPP) where the company is domiciled.

NPWP is one of the main requirements for many stages of legality that you will go through next, for example:

  •  Applying for business capital at banks or financial institutions
  •  Submission to have a company checking account
  •  Applying for a trade business license or SIUP.  

Moreover, there is an obligation to pay taxes as a legal entity and business entity that you need to fulfill. 

So it is very important to have NPWP as on of the company establishment documents, as soon as possible.  

Make sure you have paid off tax arrears for personal NPWP holders first. So, the process of making a company NPWP will not be constrained

SIUP or Trade Business License

SIUP is the legality of licensing for companies to conduct business that has been listed on the deed of establishment. 

This file must be owned by companies engaged in trade or services. It shows that the company has the competence to run its business.

SIUP has no limitation of validity period. That means, you can keep using it as long as the company conducts its business activities.  

However, if it is lost or damaged, you must re-submitted and replace it with the new one. 

There are four categories of SIUP that are regulated based on the company’s capital, namely: 

  • Micro SIUP for companies that have a maximum capital of IDR 50 million.
  • Small SIUP that intended for businesses whose capital is between IDR 50 million and IDR 500 million. 
  • Medium SIUP that must be owned by companies with a capital of Rp500 million to Rp10 billion. 
  • Big SIUP that mandatory for companies with capital requirements above Rp10 billion. 

Certificate of Company Domicile or SKDP

The next company establishment documents you should have is SKDP or Surat Keterangan Domisili Perusahaan (Certificate of Company Domicile). 

The company must have this document which will explain that the business activity does have a domicile as stated. 

The validity period of this document will expire every five years. However, if the company is a virtual office, it must be extended every year.

Company Registration Certificate or TDP

The last document you should have for establishing a company is TDP or Tanda Daftar Perusahaan (Company Registration Certificate). 

This legal document is required for companies that have a legal entity of PT, CV, or firm. 

Meanwhile, companies that are not included in any legal entity category are not required to have it. 

For your company to have a TDP, it must first be submitted to the Ministry of Law and Human Rights. 

But before that, business people must receive an attestation of the company deed, which has been filed by a notary. 

By having the five documents above, you have fulfilled the administrative requirements to ensure the legality of your company.

Finally, keep your company establishment documents carefully because it is very important to support the continuity of the company’s establishment.
